The Linkarrot platform provides an online service where businesses can connect with content creators and publishers to promote products through affiliate marketing. The platform facilitates partnerships, tracks marketplace data (such as Amazon Attribution), and helps manage commission-based payments.

Linkarrot is not a party to any agreements between users. Any arrangements, financial transactions, or obligations between sellers and creators are independent of Linkarrot. The platform does not guarantee marketing performance, commission payments, or the success of any partnership formed through its services.

To use the platform, you must create an account and provide accurate and complete information. You are responsible for maintaining the security of your login credentials and for all activity conducted under your account. If you suspect unauthorized access, you must notify Linkarrot immediately.

Your account is for your use only. Sharing login credentials or allowing others to access your account is strictly prohibited. Linkarrot reserves the right to suspend or terminate accounts in cases of suspected fraudulent activity, security concerns, or violations of these terms.

Sellers can create affiliate programs, set commission rates, and invite creators to promote their products. Creators may apply to participate in these programs.

To track marketing performance, Linkarrot integrates with marketplace APIs including but not limited to Amazon Attribution API, which provides data on clicks, conversions, and sales. Linkarrot does not guarantee the accuracy or availability of this data. Attribution data may be adjusted by marketplaces due to refunds, chargebacks, or other modifications.

Sellers and creators are responsible for reviewing and verifying commission payments based on the attribution data before finalizing any transactions.

Sellers define their own commission structures for creators. The platform facilitates commission payments but does not process payments directly. Third-party payment providers handle transactions, and users may be required to enter separate agreements with these providers.

Linkarrot is not responsible for delayed payments, payment failures, or disputes between sellers and creators. Any disputes over commissions must be resolved directly between the users involved. If a seller fails to pay a commission, the creator must seek resolution directly with the seller. Linkarrot does not guarantee that sellers will fulfill their payment obligations.

Users may only use the platform for its intended purpose, which is to connect sellers and creators for affiliate marketing. Misuse of the platform may result in suspension or termination of the account.

Prohibited activities include providing false or misleading information, attempting to bypass the platform’s tracking mechanisms, engaging in fraudulent marketing practices, scraping or collecting data without authorization, and attempting to manipulate or alter the platform’s functionality.

Users must ensure that all information they provide is accurate and up to date. Linkarrot reserves the right to remove or modify any content that violates these terms.

Use of the platform may be subject to fees related to transactions, commissions, or services. Linkarrot reserves the right to adjust pricing and fees at any time.

Failure to pay required fees may result in account suspension, termination, or legal action to recover unpaid amounts. Users acknowledge that Linkarrot is not responsible for ensuring that sellers fulfill their commission obligations. If a seller refuses to pay, creators must handle the dispute directly with the seller.

Linkarrot may terminate or suspend a user’s access to the platform for violations of this agreement, fraudulent or abusive activity, or failure to pay required fees.

Users may terminate their account at any time, but outstanding payments or obligations must still be fulfilled. Termination does not relieve a user from any past-due amounts owed to another user or to Linkarrot.

The platform, including its software, trademarks, and content, is owned by Linkarrot and protected under intellectual property laws. Users may not copy, modify, distribute, or reverse-engineer any part of the platform.

Users retain ownership of any content they upload but grant Linkarrot a limited, non-exclusive license to use, display, and distribute that content as needed to operate the platform.

The platform is provided as is and as available without warranties of any kind. Linkarrot does not guarantee uninterrupted or error-free service, nor does it guarantee the accuracy or reliability of any data, including Amazon Attribution data.

Linkarrot makes no guarantees regarding the success of any marketing efforts or the performance of any sellers or creators on the platform. Users assume all risks related to using the platform.

To the fullest extent permitted by law, Linkarrot is not liable for lost revenue, lost profits, or business interruption. The platform is not responsible for errors, inaccuracies, or delays in attribution tracking.

Disputes between users, including commission payment disputes, are the sole responsibility of the users involved. Linkarrot’s total liability, if any, is limited to the amount of fees a user paid to Linkarrot in the three months before the claim arose.

Users agree to defend, indemnify, and hold harmless Linkarrot from any claims, damages, or legal actions arising from violations of this agreement, disputes with other users, or misuse of the platform.

If Linkarrot incurs legal costs due to a user’s actions, the user agrees to cover those costs.

This agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. All disputes shall be resolved through binding arbitration in the State of California. Users waive the right to file class-action lawsuits or seek remedies outside of arbitration.

Linkarrot may modify this agreement at any time. Continued use of the platform after changes are made constitutes acceptance of the updated terms. Users are responsible for reviewing the terms periodically.
